PLEASE READ THESE TERMS OF SERVICE (“Terms”) CAREFULLY BEFORE USING THE WEBSITE AND MOBILE APPLICATION LOCATED AT https://sociallydaily.com (COLLECTIVELY, THE “SITE”), WHICH ARE OPERATED BY SOCIALLY DAILY MEDIA, LLC (“SOCIALLY DAILY,” “WE,” “US,” OR “OUR”). BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

1. Eligibility & Acceptance

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract to use the Site. By accessing the Site, you represent and warrant that you satisfy these requirements and that you will comply with these Terms and all applicable laws.

You retain ownership of your User Content. However, by posting or submitting User Content on the Site, you grant Socially Daily a non‑exclusive, transferable, sub‑licensable, irrevocable, royalty‑free, worldwide license to use, reproduce, modify, adapt, store, host, cache, reformat, publish, translate, encode, distribute, perform, publicly display, and create derivative works of that User Content in any media now known or later developed. This license ends when you delete your User Content or your account unless your content has been shared with others who have not deleted it.

6. Third‑Party Content

You may be exposed to content from third parties that is inaccurate, offensive, or objectionable. We do not control or endorse third‑party content and are not responsible for it. Your interactions with third parties found on or through the Site are solely between you and the third party.

7. Prohibited Conduct

All content on the Site, excluding User Content, is owned by Socially Daily or its licensors and protected by intellectual‑property laws. “Socially Daily” and associated logos are trademarks of Socially Daily Media, LLC. Nothing in these Terms grants you any right to use our trademarks without prior written permission.

16. Indemnification

You agree to indemnify, defend, and hold harmless Socially Daily and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Site, or your violation of these Terms.

17. Disclaimer of Warranties

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SOCIALLY DAILY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALLY DAILY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

19. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict‑of‑laws principles. You agree that any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction and venue in those courts.

20. Dispute Resolution & Arbitration

At our discretion, we may require that disputes be resolved through binding arbitration under the rules of the American Arbitration Association in Dallas County, Texas. You waive the right to participate in class actions.

21. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Socially Daily regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
